1. Introduction

These Terms and Conditions set out the rules applicable to the use of the website (the ‘website’ or the ‘platform’) and services provided by Framedrop (‘Framedrop’), as well as the terms of the contract (the ‘Contract’) entered into between the User and Framedrop.

This website is the property of Vetor Imperial Lda., registered at the Commercial Registry Office with the legal person identification number 516.402.617, with registered office at IPN, Rua Pedro Nunes, 3030 - 199 Coimbra, Portugal.

‍

Browsing this website or using its various services and tools must be done following these Terms and Conditions, which bind Framedrop and the Client.

‍

By accessing the website and using Framedrop's services, the Client declares that they have read, understood and accepted these Terms and Conditions.

‍

2. Services Provided by Framedrop

‍

Framedrop is a platform that provides artificial intelligence (‘AI’) tools to users who want to edit videos, including gaming videos, quickly and easily.

‍

By uploading of videos to be edited, Framedrop's software identifies and selects the most relevant moments and provides excerpts from the videos in minutes - highlights.  

‍

In order to provide the services described above, Framedrop supplies different types of subscription to the Services, with the possibility of monthly or annual payment, described under Clause 10 of these Terms and Conditions.

‍

3. User of the Services by Minors and Companies

‍

3.1. By using Framedrop's services (including creating an account) on behalf of a company or organisation (‘Company’), you represent and warrant that you are an authorised representative of the Company and that you have the necessary authority to bind it to these Terms and Conditions and to grant the licences set out herein.

‍

3.2. Framedrop's services are available to minor users over the age of 13.

‍

3.3. Users under the age of 18 must use the Platform under the supervision of their parents or legal representatives, who must read and accept these Terms and Conditions.

‍

‍

4. The User Workspace

‍

4.1. To use Framedrop's Services, the User must access the website and click on the ‘Login’ option.

‍

4.2. After first logging into the platform, the User will have access to their personal account (‘Workspace’) and will be able to start using the video editing features provided by Framedrop.

‍

4.3.  Users can register on the Framedrop website by entering their e-mail address, and Google or Twitch account.

‍

4.4. If the User chooses to register through a Google or Twitch account (‘Third Party Account’), if that account or associated services become unavailable, or if Framedrop's access to the User's account is terminated by the User or the service provider, Framedrop will no longer have access to the Third Party Account.

‍

4.5. Framedrop shall not be liable for any content or personal data that the provider of such services may provide that violates the User's privacy settings in the Third Party Accounts.

‍

4.6. In the event that the User receives an access code for the Login, as part of the authentication and security process implemented by Framedrop, it must be treated as confidential. The User is responsible for keeping all access codes and information sent by Framedrop secure and confidential.

‍

4.7. The User must notify Framedrop if there is reason to believe that the security of their personal account has been breached or there has been unauthorised use of it.

‍

4.8. Framedrop shall not be liable for any loss or damage caused by unauthorized authorization of the User's personal account.

‍

4.9. Framedrop reserves the right to suspend or terminate the User's access to his/her personal account at any time if:

4.9.1. It considers or suspects that the User has breached or violated any provision contained in these Terms and Conditions, including the obligations applicable to the User;

4.9.2. The User uses the Framedrop Services in terms that violate applicable legislation;

4.9.3. It is necessary to ensure the fulfillment of a legal obligation.

5. User Obligations and Restrictions on Use

‍

By accessing the website and using the Framedrop Services, the User undertakes to:

‍

5.1. Use the Framedrop Services in accordance with these Terms and Conditions;

‍

5.2. Provide Framedrop with true, accurate and complete information, namely during the registration process and creation of their account, in any communication they send Framedrop for any reason and for any purpose and in the process of purchasing any subscription model made available on the platform;

‍

5.3. Not allow your personal account to be used by third parties;

‍

5.4. Maintain the confidentiality and security of the data and access codes to your personal account;

‍

5.5. Immediately inform Framedrop if you suspect that your account is being misused, has been accessed by third parties, or you have reason to believe that the security or integrity of your personal account and information associated with it has been compromised;

‍

5.6. Comply with and refrain from violating any applicable laws, using the Framedrop Services only for purposes permitted by law;

‍

5.7. Refrain from acting in such a way as to jeopardise or negatively interfere with the regular operation of the platform;

‍

5.8. Take full and complete responsibility for the content uploaded and shared with Framedrop, including the links provided to content made available on third party websites.

‍

5.9. Do not upload or share content that is illegal, illicit, defamatory, or that violates the rights of third parties.

‍

‍

6. User Content

‍

6.1. The User retains ownership of all intellectual property rights they hold over the content provided and shared with Framedrop (hereinafter ‘User Content’).

6.2. Framedrop does not claim ownership of any rights over the content created by the User, so the content created by the User remains its property.

6.3. The User Content, once uploaded to the Platform, will be retained by Framedrop in order to allow the provision of the Services only for as long as the User maintains an active subscription. Upon termination of the User's subscription, Framedrop reserves the right to delete and remove the User Content from the Platform.

6.4. However, the User understands that certain features of the Service may allow other Users to view, edit or share User Content. By providing or sharing User Content through Framedrop Services, you agree to allow others to view, edit or share User Content in accordance with your personal account settings and these Terms and Conditions.

6.5. By using the platform's Services, the User grants Framedrop a worldwide, irrevocable, non-exclusive, sub-licensable, royalty-free licence to use, reproduce, modify, adapt, publish, create derivative works from, distribute and display the User Content to promote and redistribute Framedrop's Services.

6.6. The User is solely responsible for the User Content and the consequences of its use, dissemination and modification.

6.7. The User declares and warrants that:

6.7.1. You are the original creator or owner of all rights to the User Content, or have sufficient rights and authority to grant the rights contemplated in these Terms and Conditions and to share with Framedrop and allow Framedrop to use, share and edit the User Content;

6.7.2. User Content does not infringe any third party rights, including intellectual and industrial property rights;

6.7.3. The User is solely responsible and declares to have obtained all consents required by law to share related User Content with third parties;

6.7.4. User Content is not defamatory;

6.7.5. User Content does not contain any type of virus or malicious code that could harm third parties or the proper functioning of the Services.

6.8 Gaming Content:

6.8.1. Supported Games: When importing a gaming video to be edited using Framedrop's Services, Users must ensure that the game being played is supported by Framedrop. The current list of supported games includes:

  • Apex Legend
  • Call of Duty: Warzone
  • Fortnite
  • League of Legends
  • Rocket League
  • Valorant

6.8.2. Editing Clips from Any Game: Users can edit videos from any game if they choose the "Edit Only" option, where the AI detection feature is not used. This option allows Users to manually import clips and use Framedrop’s editing tools without relying on the AI to detect highlights.

6.8.3. Unsupported Games for AI Detection: If the User uploads a gaming video from a game not mentioned in the supported games list and selects the AI detection option, Framedrop does not guarantee the ability to extract highlights or provide clips automatically. The User acknowledges that uploading unsupported games with AI detection may result in the inability to use some of Framedrop's automated Services.

7. Intellectual Property

‍

7.1. All content, including without limitation, texts, images, logos, information, brands and any intellectual property rights on the website are the property of Framedrop or are being used by Framedrop with the permission of the respective owner(s).

‍

7.2. Users accessing, viewing or downloading the content of the website are obliged to respect the intellectual property rights protecting such content.

‍

7.3. It is particularly forbidden to extract, use, reproduce or disseminate the content of the website for commercial purposes, as well as its alteration or incorporation into any article, publication, website or any other medium.

‍

7.4. Framedrop does not grant the User any licences or intellectual property rights, nor can any content on this platform be interpreted as granting a licence, authorisation or right to use any trademark mentioned therein.

‍

7.5. Framedrop will use all legal mechanisms to protect and enforce its intellectual and industrial property rights.

‍

‍

8. Limitation of Liability

‍

8.1. The Services, information, data and content provided by Framedrop are made available to the User on an (‘as is’) and (‘as available’) basis.

‍

8.2. With the exception of any damages resulting from wilful misconduct or gross negligence on the part of Framedrop, Framedrop does not warrant and shall not be liable for:

8.2.1. Framedrop does not represent or grant any kind of warranties, express or implied, regarding the accuracy, reliability, completeness or functioning, or permanent availability of the Services of the platform;

8.2.2. Framedrop makes no representations or warranties of any kind, express or implied, that the content available on the platform or the Services made available therein are free of bugs, defects or errors, or any viruses or other computer programming codes that contain malicious or destructive properties;

8.2.3. For damages caused by third parties who obtain undue access to the User's account, when the User has not ensured the confidentiality of the access data to his/her personal account;

8.2.4. Framedrop rejects any liability for any direct, indirect and/or accidental damages resulting from the use or inability of the User to use the contents and tools provided by Framedrop;

8.2.5. Framedrop assumes no responsibility for any failure or non-compliance of its Services caused by circumstances beyond its control;

8.2.6. The submission and sharing of User Content, as well as the moments produced through the use of Framedrop's Services, are the sole and exclusive responsibility of the User, who is solely responsible for any violations of third party rights, including intellectual property rights;

8.2.7. Framedrop is not responsible for uploading and processing videos by downloading them using third-party platforms, and such behaviour is the sole responsibility of the User, who shall bear all risks and possible liabilities arising from violations of the policies and terms of use of these platforms.

9. Links to Third Party Websites

‍

9.1. The Framedrop website contains links to other websites and applications that are not under the control and direction of Framedrop and for which the company is not responsible.

‍

9.2. Framedrop does not have full control over, and assumes no responsibility for, the content, privacy policy or practices of any third party websites or services.

‍

9.3. In particular, Framedrop does not guarantee the reliability of the contents of these links, nor does it accept responsibility for changes to them.

‍

9.4. The User acknowledges and accepts that Framedrop shall not be responsible or liable, directly or indirectly, for any damage or loss allegedly caused by or in connection with the use of any content, goods or services available on or through any such website or service.

‍

10. Paid Services: Subscription Plans

‍

a) Free Trial Period

10.1 Framedrop offers Users the use of the Services, without the need for a subscription, for the editing of limited minutes of spoken video and gaming content (“Free Trial Period”).

10.2 The duration of the Free Trial Period is subject to Framedrop's discretion, as well as any changes thereto.

10.3 Access to the Free Trial Period is not subject to data relating to payment methods, and the User will not be charged any amount after the end of this period.

b) Subscription options

10.4. Framedrop only offers annual or monthly subscription plans, providing 3 different modalities, subject to specific conditions of use and prices:

  1. Starter: aimed at individual users;
  2. Pro: aimed at companies and professionals;
  3. Enterprise: aimed at companies and with no pre-defined conditions of use or prices;

10.5. All the subscription options provided by Framedrop are automatically renewable, and the User has the right to cancel their subscription at any time, while retaining the possibility of using the platform and Services until the end of the billing period, under the terms defined in Clause 11.

  1. c) Payment methods

‍

10.6. Subscriptions may only be paid for by providing credit card details.

‍

10.7. By purchasing a subscription method made available by Framedrop, the User authorises Framedrop, or the payment service provider contracted by the Company, to debit all amounts due, on a recurring basis, including fees applicable to the transaction, as well as any other charges associated with the subscription.

‍

10.8. Upon renewal of the subscription, if Framedrop or the payment service provider contracted by Framedrop is unable to debit the amounts due for the use of the Services using the payment method information provided by the User, the subscription will be immediately cancelled by Framedrop

  1. d) Changes to the Subscription Price

‍

10.9. Framedrop reserves the right to change the prices associated with any subscription modality, notifying Users of this change in accordance with these Terms and Conditions and applicable legislation.

‍

10.10. Framedrop may change the price of subscriptions for the following reasons:

10.10.1. In order to reflect the costs of improvements that Framedrop has implemented in the Platform, including the development of new or improved technical features or functionalities;

10.10.2. Due to unexpected costs resulting from force majeure events that affect the proper functioning of the Platform;

10.10.3. Due to increased costs resulting from the need to fulfil legal requirements applicable to contracts entered into with Users;

10.10.4. Changes in market conditions or increased costs associated with the business.

10.11. Changes to the subscription price will only apply when renewing current subscriptions.

11. Cancellation of Subscription

‍

11.1. Users can cancel their subscription to Framedrop's Services at any time via their Personal Workspace, and this decision will only take effect from the end of the corresponding billing period.

11.2. The subscribed Services will remain available and accessible until the end of the billing period, and the User may decide to renew the subscription throughout this period.

‍

12. Right of Free Resolution

‍

12.1. The User who is in the European Economic Area (EEA) hereby accepts that Framedrop provides him/her with direct and immediate access to the Platform Services after purchasing a Subscription modality, and thus accepts not being able to exercise a right of free termination of the contract entered into with Framedrop, within 14 (fourteen) days (or any other period required by applicable local legislation) after activation, in order to obtain a refund.

‍

13. Refund Policy and Guarantee of Conformity of Digital Content

‍

13.1. Except where required by applicable law, we do not provide refunds, credits or proportional price reductions for cancelled subscriptions.

‍

13.2. Other than as required by law, Framedrop will only grant refunds in respect of subscriptions purchased by Users, discounts or other consideration, if it so chooses, on a discretionary and case-by-case basis, whereby the granting of a refund in a particular situation does not bind Framedrop for the future.  For example, if in the course of a refund request it is concluded that the user has processed or exported various contents, we will assume that the App has met their expectations and we will not refund any amount.

13.3. The User has a guarantee of conformity with regard to the supply of the Services purchased, for the entire duration of the contract.

‍

13.4. In the event of non-conformity, you are entitled to have the conformity restored and, in the event of non-conformity, you are entitled to a proportional reduction in the price or cancellation of the contract.

‍

13.5. In the event that the User chooses to terminate the contract under the terms of the previous paragraph, Framedrop will reimburse the User the proportional amount of the price corresponding to the period during which the services were not in conformity.

‍

14. Changes of the Terms and Conditions

‍

14.1. Framedrop reserves the right to unilaterally modify these Terms and Conditions at any time.

‍

14.2. Any changes to these Terms and Conditions will be communicated to Users via the Platform, with 15 (fifteen) days' notice of the date on which the new version comes into force.

‍

14.3. Framedrop may amend the Terms and Conditions without the need to observe the 15 (fifteen) day notice period mentioned in the previous paragraph, in the event that:

14.3.1. It is subject to a legal or regulatory obligation that prevents it from complying with the aforementioned notice period;

14.3.2. It exceptionally needs to change the Terms and Conditions in order to deal with an unforeseen and immediate threat related to the protection of the intermediation of online services or the protection of Users against fraud, malware, spam, data breaches or other cybersecurity threats.

14.4. If the User does not agree with the content resulting from the changes introduced by Framedrop to the Terms and Conditions, he/she must cease using the Platform and Services, cancelling his/her account and terminating this Agreement.

15. Applicable Law and Dispute Resolution

‍

15.1. These Terms and Conditions, as well as any dispute inherent to the use of the Platform and its Services, shall be governed by Portuguese law.

15.2. In the event of a legal dispute over the Terms and Conditions or the Platform and associated Services, the Courts of the District of Coimbra shall have jurisdiction, expressly waiving any other jurisdiction.

17. Final Provisions

‍

17.1. The non-exercise, or late or partial exercise, of any right that Framedrop may have under these Terms and Conditions shall in no case mean the waiver of that right, or cause it to lapse, and it shall therefore remain valid and effective notwithstanding its non-exercise.

‍

17.2. If any clause of these Terms and Conditions is deemed null and void or otherwise invalid or ineffective by a competent authority, such nullity, invalidity or ineffectiveness shall not affect the validity of the remaining clauses.

‍

17.3. These Terms and Conditions constitute the entire agreement between Framedrop and the User and replace any and all previous terms, conditions, guarantees or declarations, to the maximum extent permitted by law.
